Welcome to OpenX Network. These Terms of Service ( Terms) govern your access to and use of the OpenX Network website (the Site) and any related services, features, or content provided by OpenxAI Labs Inc. (we, us, or our), located at 131 Continental Dr, Suite 305, City of Newark, County of New Castle, Delaware 19713, USA.

OpenX Network is a decentralized, permissionless AI protocol. The protocol itself is governed by open-source software and onchain smart contracts; no single company controls the network. These Terms apply to your use of the Site and any services we provide, but they do not override the autonomous rules of the protocol.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

You must be at least 18 years old and legally able to enter into contracts to use the Site. You represent that you are not located in a jurisdiction that prohibits access to or use of the services offered, and that your use will comply with all applicable laws, regulations, and sanctions.

The Site provides information about, and access to interfaces for, the OpenX Network protocol. We do not operate the protocol itself. We may display network statistics, documentation, builder resources, and links to third-party tools or frontends.

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice.

Interacting with the protocol may require a self-custody Web3 wallet. You are solely responsible for safeguarding your wallet, private keys, seed phrases, and any assets held in your wallet. We do not have access to your private keys and cannot recover them or reverse onchain transactions.

You agree not to use the Site or protocol to:

• Violate any applicable law, regulation, or sanctions program.
• Infringe intellectual property or other proprietary rights.
• Distribute malware, spam, or malicious code.
• Interfere with the security or availability of the Site or network.
• Engage in fraud, market manipulation, or deceptive practices.

OpenX Network branding, content on the Site, and related materials are owned by OpenxAI Labs Inc. or its licensors and are protected by intellectual property laws. You may view, download, and print materials from the Site for personal, non-commercial use only.

Protocol code is made available under the applicable open-source licenses posted in the relevant repositories. Nothing in these Terms restricts your rights under those licenses.

The Site and protocol are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Blockchain and AI systems involve risks, including but not limited to smart-contract bugs, economic attacks, market volatility, regulatory changes, and loss of funds. You assume full responsibility for these risks.

To the fullest extent permitted by law, OpenxAI Labs Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or relating to your use of the Site or protocol.

You agree to indemnify and hold harmless OpenxAI Labs Inc. and its representatives from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Delaware.

We may update these Terms from time to time. The updated version will be posted on this page with a revised Last Updated date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
